Terms & Conditions - The Basics
1.General
1.1.These Terms and Conditions ("T&C") apply to all contracts, services, and offers of SANDA Marketing Agency ("SANDA").
1.2. Deviating conditions of the customer are not recognized unless SANDA explicitly agrees to their validity in writing.
1.3. By commissioning SANDA, the customer agrees to these T&C.
2. Subject of the Contract
2.1. SANDA provides services in the field of marketing, including but not limited to digital marketing strategies, social media management, content creation, SEO, SEA, and other marketing measures.
2.2. The specific scope of services is determined in the respective contract between SANDA and the customer

3. Conclusion of Contract
3.1. Offers from SANDA are non-binding and subject to change.
3.2. A contract is concluded when SANDA confirms the customer’s order in writing or begins providing the service.
4. Services and Obligations of Cooperation
4.1. SANDA undertakes to perform the agreed services with due diligence and professionalism.
4.2. The customer shall provide SANDA with all necessary information, documents, and access in a timely and complete manner.
4.3. Delays or additional costs resulting from insufficient cooperation by the customer shall be borne by the customer.
5. Fees and Payment Terms
5.1. The fees for SANDA’s services are based on the fee or offer agreed upon in the contract.
5.2. All prices are exclusive of statutory VAT unless expressly stated otherwise.
5.3. Invoices are payable within 14 days of receipt without deduction. 5.4. In case of default, SANDA is entitled to charge default interest at the statutory rate.
6. Usage Rights
6.1. The customer acquires usage rights to the content and results created under the contract only after full payment of the agreed fee.
6.2. SANDA reserves the right to use created content for its own reference and marketing purposes unless otherwise agreed in writing.
7. Confidentiality
7.1. Both parties undertake not to disclose confidential information of the other party to third parties and to use it only for contractually agreed purposes.
7.2. This obligation continues beyond the end of the contractual relationship.
8. Liability
8.1. SANDA is only liable for damages caused by intent or gross negligence.
8.2. Liability for indirect damages, consequential damages, or lost profits is excluded unless it concerns the breach of essential contractual obligations.
8.3. Liability is limited to the amount of the agreed fee.
9. Contract Duration and Termination
9.1. The duration of the contract is determined by the individual agreement in the contract.
9.2. Termination must be in writing. Unless otherwise agreed, the contract may be terminated with a notice period of 4 weeks to the end of the month.
9.3. The right to terminate without notice for good cause remains unaffected.
10. Miscellaneous
10.1. Should individual provisions of these T&C be invalid or become invalid, the validity of the remaining provisions shall remain unaffected.
10.2. German law applies. The place of jurisdiction is the registered office of SANDA, provided the customer is a merchant or a legal entity under public law.
